Terms of Service

The agreement between you and Prod Crate: what you get, what you owe, what you keep, and what happens if either side walks away.

Draft — not reviewed by a lawyer

This text is a plain-English draft written by the team, not legal advice, and it has not been reviewed by counsel. Anything in square brackets is still to be decided. It will be replaced with a reviewed version before Prod Crate leaves beta — until then, treat it as a statement of intent rather than a contract.

The agreement

These terms are between you and [Prod Crate, Inc.], [registered address]. By creating an account or using Prod Crate you accept them. If you are agreeing on behalf of a label, studio, or company, you confirm you are allowed to bind it.

Your account

  • Give us a real email address and keep it current — it is how we reach you about your library and your billing.
  • An account is for one person. Team and label plans exist for more than one; [seat terms to be confirmed].
  • Keep your credentials safe. You are responsible for what happens under your account until you tell us it has been compromised.
  • You must be at least [16] years old.

Plans, billing, and renewal

  • Paid plans are billed in advance and renew automatically until you cancel.
  • Upgrades take effect immediately and are prorated for the rest of the period.
  • Downgrades and cancellations take effect at the end of the period you have paid for. There is no partial refund.
  • If a payment fails we retry and email you. After [14 days] the account drops to Free; nothing is deleted for non-payment.
  • Prices can change, but not mid-period, and we give at least 30 days' notice by email.
  • Prices exclude tax unless stated. You are responsible for any tax that applies where you are.

Your files stay yours

You keep every right you had in the files you upload. We claim no ownership of them, and we will not use them to promote Prod Crate.

You grant us only the licence we need to run the service for you: to store your files, convert them losslessly to FLAC, analyse them for instrument, key, and BPM, transmit them to your devices, and show them to anyone you deliberately share them with. That licence ends when you delete the file or close your account, subject to the retention periods in the Privacy Policy.

What you may not upload or do

  • Files you have no right to store or distribute.
  • Content that is illegal where you are or where we operate.
  • Malware, or anything designed to damage the service or another user.
  • Using Prod Crate as a public distribution point for pirated packs or leaked material.
  • Automated access that degrades the service for other people, or attempts to work around plan limits.

A private library is private. These rules exist so that stays true for everyone, not so we can police your folders.

Storage limits

Storage is measured after conversion, which is what we actually store. Going over your plan's limit makes your library read-only — you can browse, search, download, and delete, but not upload — until you are back under it. We do not delete files for being over the limit, and we email you before you reach it.

Availability

We aim for [99.9%] monthly availability on paid plans. Free accounts get the service as it is. Current and past incidents are on the status page. Planned maintenance is announced there in advance, and we schedule it outside [US and EU evenings] where we can.

Beta features

Anything labelled beta is exactly that: it can change, break, or be removed. Do not make a beta feature the only thing standing between you and losing work.

Suspension and ending the agreement

You can cancel at any time in Settings, and ask us to delete your account whenever you want. We can suspend or close an account for serious or repeated breach of these terms, or where we are legally required to. Except where the law or the seriousness of the breach prevents it, we give notice first and a chance to fix it.

If we close your account for anything other than abuse, you get [30 days] to export your library before it is deleted.

Warranties

Prod Crate is provided as is. We work hard on durability and we do not promise perfection. Keep your own copy of anything you could not bear to lose — that is true of every service, including ours.

Limitation of liability

To the extent the law allows, our total liability to you is limited to the amount you paid us in the [12 months] before the claim. We are not liable for lost profits, lost projects, or other indirect losses. Nothing here limits liability that cannot legally be limited.

Changes, governing law, and contact

We post changes to these terms on this page with a new date, and email you at least 30 days before a material change. These terms are governed by the laws of [State], and disputes go to the courts of [State].
